Retail Gallery and Instructor Agreement and Conditions
Background
Manor Mill is a restored pre-revolutionary grist mill in Monkton, MD that hosts and runs workshops, classes, retreats and similar activities, with a focus on creative works and art. The Retail Gallery is primarily located and featured on the first floor, although work is sold throughout the Mill where appropriate. Manor Mill also strongly encourages artists to run classes or workshops alongside what they sell, which are developed and scheduled in collaboration with the Program Director and Program Coordinator.
General Overview of Mutual Expectations
Manor Mill will provide the following services:
Display products and maintain the areas to best promote the items for sale
Handle all transactions between the buyer and Mill
Coordinate and track inventory
Process any sales and pay sales tax
Coordinate, schedule and promote any classes or workshops
The artist will:
Provide images and a statement/bio to include with the display, as appropriate
Provide a digital and printed copy of inventory for items approved for the shop. Prices should reflect the total price for each product with Manor Mill’s added 40% commission.
Conduct a workshop, class, lecture, etc. as part of Manor Mill’s programming, providing the appropriate information necessary (duration, maximum # of students, required supplies). Payment is based on a flat-fee tiering model.
Promote the Mill and any associated workshops via email, social media, and website.
Teaching Requirements, Cancellation and Compensation
As Manor Mill is set up to be a creative center for teaching and learning, all artists are strongly encouraged to conduct at least one class or workshop in conjunction with selling their products. The class should have a title, a maximum number of students, a list of class outcomes, and any space/supply requirements from the Gallery and students. Manor Mill will determine the fee for the class, and may ask for input from the artist as well as the cost of materials. For paid classes, Manor Mill will pay a flat rate based on the length of the class and the tier determined for the instructor, excluding materials fees which will be added to the class fee as required by the artist. It is the responsibility of the artist to inform Manor Mill when they believe they are reaching a higher payment tier.
Manor Mill strongly discourages canceling classes under any circumstances. While a minimum attendance of two students is required, the artist and Manor Mill will work in good faith to take the appropriate actions to increase attendance through promotion and outreach. For example, before canceling a class, Manor Mill will make an attempt to reschedule the class with any existing students to create a longer window for signups.
Retail Gallery Fees and Commissions
Unless otherwise specified, for commission work, the Retail Gallery will collect a forty percent (40%) commission on the sale of any artwork during or as a result of this exhibit or online. The price set by the artist will be considered firm.
For lower priced items (generally those less than $30), Manor Mill will purchase the products at a wholesale price agreed upon with the artist and reserves the right to price the items however it deems appropriate. Note: Manor Mill reserves the right to approve or deny certain items for wholesale purchasing.
For outstanding commission pieces sold, Manor Mill will pay the artist approximately two weeks after the close of each quarter (on or around April 15, July 15, October 15, and January 15).
Delivery, Installation and Pick Up
In cases when a significant number of items is being delivered (more than 10 pieces), an excel or Google sheet must be emailed to store@manor-mill.com with title, description, price and SKU for each item.
If work is being shipped, mail to 2029 Monkton Road, Monkton MD 21111. Include return postage and necessary packaging. The Gallery is not responsible for any damage during transit or delivery.
Unless otherwise specified, buyers will be able to take the piece of art with them once they have purchased it.
No products will be accepted which requires special attention or maintenance by Manor Mill staff.
Manor Mill reserves the right to refuse any artwork upon delivery that it deems to be improperly presented, unsafe, damaged, or does not meet size requirements.
Security and Liability
The Gallery has a wired Vivint security system to secure the building, including an intrusion detection sensor at the front and back entrances, cameras at the front entrance and the back loft entrance, sound detection for broken glass, and a motion sensor on the first floor and in the kitchen when the alarm is set and the building is unoccupied. In addition to the Vivint cameras and security system above, a separate security system with 10 cameras are in place which includes interior security cameras located on each floor as well as in the kitchen area and classroom, with two additional exterior cameras covering the ceramics entrance and back walkway; these cameras are tied to 24-7 video storage with battery backup.
Outside of these security measures, Manor Mill does not provide insurance coverage for the products, and is not responsible for the safekeeping of any work housed, transported to or from, or exhibited/displayed on site. Reasonable measures will be taken to safeguard the products while on the property. Manor Mill will not be responsible for loss, theft or damage to any products or artwork. Participation in Manor Mill’s Retail Gallery constitutes agreement with the condition set forth here and affirms that the work is original and does not infringe upon any copyright. The artist and any staff associated with the art exhibition will hold harmless Manor Mill, LLC and its staff from any wear, damage, destruction or theft of exhibited items.
Promotion and Sales
Manor Mill reserves the right to introduce short-term promotions of up to 20% to help incentivize sales of retail work. For commission work, half of this discount will be reduced from the artist’ commission and half from Manor Mill. Class promotions are at the full discretion of Manor Mill, which does not impact the flat fee arrangement with the teacher.
